4.1 Selection of the Board of Directors (Revised ) from Community Futures Pacific Northwest Policy Manual :


1. The board of Directors of the CFDC will be compromised of up to twelve residents from the CFDC-PNW Region. Directors will possess a good knowledge of the community and its people. The directors will be prepared to commit time and energy in guiding the activities of the CFDC. The majority of the board will make themselves available whenever possible for meetings. 2. (1) Candidates for the director in any new area will be advertised for in the region and will be nominated by a nominating committee of the Community Futures Development Corporation of the Pacific Northwest. The nominating committee will be responsible for screening applications and making recommendations to the Community Futures Development Corporation of the Pacific Northwest. (2) Subsequent CFDC directors will be elected by incumbent CFDC directors, with final approval coming from the CFDC Board. 3. Executive officers of the Board of the CFDC will be chosen by the Board?s Directors at its annual meeting. 4. Alternates will not be appointed.

It is the responsibility of the Board

through consultation with management and staff to set policy to guide the CFDC's operations by:

- identifying policy issues - considering alternative policies and suggestions - reviewing and implementing preferred policy programs

to carry out ongoing reviews and evaluation of the Corporation?s goals and objectives and the effectiveness of the CFDC in meeting its objectives through an organized corporate planning process

to recommend management guidelines related to Board financial policy

to recommend improvements to the type and quality of service available to clients

to ensure that all facets of the CFDC's administration are carried out in a manner consistent with sound business practices and to request such reports as appear necessary to ensure compliance with this objective

to ensure that the Corporation's legal obligations are met, including :

- fulfilling all applicable requirements of Federal, Provincial and Municipal Acts or by-laws and of the by-laws of the CFDC - fulfillment of all contractual obligations - operating legally at all times

to review delinquent accounts and recommend that appropriate action be taken to protect the Corporation's interest and, at the same time, take every reasonable opportunity to assist a borrower to meet his/her contractual obligations

to ensure that financial, managerial and technical assistance provided through the CFDC is closely coordinated with other development programs operated by federal government departments, provincial and municipal governments, and private agencies, for the maximum benefit of the CFDC clients

to evaluate and recommend on foreclosure, sale, legal action and revision of terms and conditions on clients who receive financial assistance from the Corporation

2. Responsibilities of Individual Directors
Individual Directors have a responsibility

to fulfill all legal obligations of the position including:

- ensuring confidentiality of all information; and - disclosing personal conflict of interest

to maintain the financial integrity of the Corporation by:

- ensuring that confidential information is neither revealed nor used inappropriately

to facilitate communications within the CFDC by:

- keeping the Board informed - being aware of the extent of Corporation information which may be released to the public - being a public relations spokesperson for the Corporation at all times - remaining sensitive to the needs of all board members and communities
